Terms of Service — Semibit Technologies LLP

These Terms of Service ("Terms") are a legally binding agreement between you ("you" or "User") and Semibit Technologies LLP ("Semibit", "we", "us"). They govern your access to and use of all Semibit websites, mobile apps, products, APIs, integrations and services (collectively, the "Services"). By accessing or using the Services you agree to these Terms.

1. Scope & applicability

These Terms apply to all Services provided by Semibit Technologies LLP, including but not limited to website functionality, mobile applications, APIs, developer tools, cloud services, betas, and any associated content or documentation. If you accept these Terms on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.

You must be at least the minimum legal age in your jurisdiction to form a binding contract with Semibit. By using the Services you represent that you meet the eligibility requirements and will comply with applicable laws.

"User Content" means any text, images, audio, video, files or other materials you submit when using the Services. You retain any ownership rights you have in your User Content. By submitting User Content you grant Semibit a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to host, store, copy, modify, publicly display and distribute your User Content solely to provide, operate and improve the Services.

Certain Services may be offered for a fee. If you purchase paid features you agree to the payment terms and pricing published by Semibit. All fees are non-refundable except where required by applicable law or as expressly stated. Payments may be processed by third-party payment providers; those providers' terms apply to payment processing.

7. Third-party services & links

The Services may contain links to third-party websites, integrations and services. Semibit does not control or endorse third-party content and is not responsible for their practices or security. Your interactions with third-parties are solely between you and that party.

8. Intellectual property

Semibit and its licensors retain all right, title and interest in and to the Services, software, trademarks, logos and content provided by Semibit. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

Our Privacy Policy explains how we collect and use personal information — it is incorporated into these Terms by reference.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. SEMIBIT DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT AS REQUIRED BY LAW.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SEMIBIT OR ITS AFFILIATES, LICENSORS OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO SEMIBIT FOR THE APPLICABLE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR INR 5,000, WHICHEVER IS GREATER. THIS LIMITATION APPLIES EVEN IF SEMIBIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, EXCEPT WHERE PROHIBITED BY LAW.

12. Indemnification

You agree to indemnify, defend and hold harmless Semibit and its officers, directors, employees and agents from any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your User Content, or your use of the Services.

We may suspend or terminate your access for violation of these Terms or suspected fraudulent or unlawful activity. Termination does not eliminate obligations that arose prior to termination, including payment and indemnity obligations.

14. Changes to the Terms

We may update these Terms from time to time. Material changes will be posted with an updated effective date. Continued use of the Services after notice constitutes acceptance of the updated Terms.

15. Governing law & disputes

These Terms are governed by the laws applicable to Semibit Technologies LLP. For disputes, please contact us first at support@semibit.in.

Dispute resolution & arbitration

Except where prohibited by applicable law, you and Semibit agree to resolve any dispute, claim or controversy arising out of or relating to these Terms or the Services through final and binding arbitration rather than in court. This includes a waiver of any right to a jury trial and a waiver of the right to participate in a class, collective, representative, or consolidated action. Arbitration shall be conducted under the arbitration law applicable to Semibit and administered by an arbitration provider mutually agreed by the parties. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights or confidentiality obligations. If a court determines that the arbitration requirement or class-action waiver is unenforceable, the claim may proceed in court to the extent permitted by law.
